Welcome to Junaus SCM
These Terms of Service ("Terms") govern your use of Junaus SCM's logistics services and website. By engaging our services or accessing our platform, you agree to be bound by these Terms.
Service Definition and Scope
1.1 Service Overview: Junaus SCM provides comprehensive international logistics services including freight forwarding, NVOCC operations, multimodal transport, customs clearance, warehousing, and supply chain management.
1.2 Geographic Focus: Our primary expertise lies in Latin America market logistics with global connectivity through strategic partnerships with major shipping lines including MAERSK, CMA, MSC, ONE, and EVERGREEN.1.3 Service Standards: All services are delivered in accordance with international logistics standards, Chinese Ministry of Transport regulations, and applicable international conventions.
Client Responsibilities and Obligations
2.1 Information Accuracy: Clients must provide accurate, complete, and timely information regarding shipments, including but not limited to cargo descriptions, values, destinations, and required documentation.
2.2 Compliance Requirements: Clients are responsible for ensuring all shipments comply with applicable laws, regulations, and restrictions of origin, transit, and destination countries.
2.3 Documentation: Clients must provide all necessary documentation including commercial invoices, packing lists, certificates, and permits as required by relevant authorities.
2.4 Payment Terms: Payment for services must be made according to agreed terms. Default in payment may result in service suspension and additional charges.
Liability and Risk Management
3.1 Standard of Care: Junaus SCM exercises reasonable care and diligence in providing logistics services but acts as an intermediary and not as a carrier unless specifically contracted as such.
3.2 Liability Limitations: Our liability is limited to the terms of our service agreements and applicable international conventions such as the Hague-Visby Rules, Warsaw Convention, or CMR Convention as applicable.
3.3 Insurance Recommendations: We strongly recommend clients obtain appropriate cargo insurance. Junaus SCM can arrange insurance coverage but is not liable for uninsured losses.
3.4 Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control including natural disasters, strikes, government actions, or carrier delays.
Pricing and Payment Terms
4.1 Quotations: All quotations are valid for the period specified and subject to confirmation of booking. Prices may vary based on market conditions, fuel surcharges, and regulatory changes.
4.2 Additional Charges: Clients are responsible for additional charges including but not limited to demurrage, detention, storage, customs duties, taxes, and penalties arising from cargo handling.
4.3 Payment Schedule: Payment terms are specified in individual service agreements. Late payments may incur interest charges and affect service continuation.
4.4 Currency and Exchange: All prices are quoted in the agreed currency. Exchange rate fluctuations may affect final charges where currency conversion is required.
Confidentiality and Data Protection
5.1 Confidential Information: We maintain strict confidentiality regarding client business information, trade secrets, and commercial data shared during service provision.
5.2 Data Security: Client data is protected using industry-standard security measures and is only shared with authorized personnel and partners as necessary for service delivery.
5.3 Regulatory Disclosure: We may disclose information as required by law, regulation, or competent authorities including customs, security, and trade compliance agencies.
5.4 Data Retention: Client data is retained for periods required by applicable laws and regulations, typically 5-7 years for logistics and customs documentation.
Dispute Resolution and Governing Law
6.1 Governing Law: These Terms are governed by the laws of the People's Republic of China and applicable international logistics conventions.
6.2 Dispute Resolution: Disputes shall first be resolved through good faith negotiation. If unsuccessful, disputes may be submitted to arbitration or competent courts as specified in individual service agreements.
6.3 Jurisdiction: For matters not covered by specific arbitration clauses, the courts of the People's Republic of China shall have jurisdiction.
6.4 Time Limitations: Claims must be submitted within time limits specified by applicable laws and international conventions, typically within 9-12 months of delivery or expected delivery date.
Modifications and Termination
7.1 Terms Updates: Junaus SCM reserves the right to modify these Terms with reasonable notice. Continued use of services constitutes acceptance of updated Terms.
7.2 Service Termination: Either party may terminate services with appropriate notice as specified in service agreements, subject to completion of ongoing shipments.
7.3 Survival Clauses: Provisions regarding liability, confidentiality, and dispute resolution survive termination of the service relationship.
7.4 Transition Support: Upon termination, we provide reasonable assistance in transitioning ongoing shipments and documentation to alternative service providers.
